Binding Arbitration

THE TERMS OF USE REQUIRE BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. 

● In the event of any dispute arising out of or relating to these Terms or your use of Grapevyne, the parties agree to first attempt to resolve the dispute informally.

● If a dispute cannot be resolved informally, the parties agree to resolve the dispute through binding arbitration conducted by a neutral arbitrator selected by Grapevyne. 

● Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted.

The Services

• Grapevyne provides professional services to create job postings that enhance the physician recruitment and talent acquisition process for hospitals and other healthcare providers. 

• Grapevyne hosts physician recruiting materials and custom job postings on our proprietary website with the goal of reducing hiring time, increasing physician retention, and improving the quality of candidates.

Disclaimers and Limitation of Liability

• Grapevyne provides its services on an "as is" and "as available" basis. We disclaim all warranties, express or implied.

• In no event shall Grapevyne be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the service.

User Requirements and Restrictions

• Account Registration. To access certain features of the Services you will be required to become a Registered User.  A “Registered User” or “User” is a user of the Services who has registered an account whether through the Website or otherwise through the Services (“Account”).

• You will not misrepresent your identity or apply to roles posing as someone else.

• You will not attempt to hack the Grapevyne service or reverse engineer any code.

• You agree not to collect sensitive personal information about candidates, which includes data such as social security numbers, financial account details, health records, and other protected information.

• You will not use Grapevyne in any way that violates applicable laws and regulations.

• You may not post on or transmit (“User Content”, or “Content”) through the Service any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable Content of any kind, including, but not limited to, any Content that encourages conduct that would constitute a criminal offense, give rise to civil liability, impersonate another person, or otherwise violate any applicable law or third parties rights, or interfere with another person’s use and/or enjoyment of the Services. If we are notified that you have submitted or posted such Content, then we may investigate the allegation and determine in our sole discretion whether to remove or request the removal of such Content from the Service.

• You are solely responsible for the User Content you submit, and Grapevyne assumes no liability for any User Content submitted by you. You acknowledge and agree that we reserve the right (but have no obligation) to do any or all of the following, in our sole discretion: (i) monitor User Content; (ii) alter, remove, or refuse to post or allow to be posted any User Content; and/or (iii) disclose any User Content, and the circumstances surrounding its transmission, to any third party.

Identity Verification

• A doctor who recommends another doctor for an open position on Grapevyne (“Connecting Doctors”) must provide an accurate National Provider Identifier (NPI) when creating their account.

• The identity associated with your NPI must match the identity on your linked bank account where commission payments will be sent.

• Grapevyne reserves the right to request additional identity verification documentation. Failure to satisfy these verification requirements may result in account suspension or termination.

Candidate Submissions

• Connecting Doctors may only submit up to 5 candidate recommendations per individual job posting. Any submissions beyond 5 candidates for a single role will not be eligible for a commission.

• Connecting Doctors must have a reasonable basis for believing submitted candidates meet the role qualifications. Grapevyne may remove Connectors who repeatedly submit unqualified candidates.

• Grapevyne reserves the right to limit total candidate submissions per Connecting Doctor if submission quality does not meet expectations.

• Submissions that do not meet expectations include, but are not limited to: candidates who do not meet the posted job qualifications, duplicate submissions of the same candidate, or fraudulent submissions. Grapevyne reserves the right to make the final determination of submission quality.

Commissions

• Connecting Doctors earn a fixed payment for each milestone a submitted candidate reaches in the hiring process, as specified in the job posting.

• Milestones may include stages such as candidate application, interview, offer acceptance, and successful placement.

• Payment amounts for each milestone are listed on the individual job posting pages.

Account Termination

• Grapevyne may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

• If you wish to terminate your agreement with Grapevyne, you may do so by deactivating your account. Please see our Privacy Policy for data handling procedures.

Indemnification

• You agree to indemnify and hold harmless Grapevyne from any claims, losses, liabilities, or expenses that arise from your use of the service or violations of these terms.

Registration Data

• In registering for an Account, you agree to (1) provide true, accurate, current, and complete information about yourself as prompted by the website (the “Registration Data”); and (2) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (1) at least eighteen (18) years old; and (2) not a person barred from using the Services under the laws of the United States, your place of residence or any other applicable jurisdiction.  You are responsible for all activities that occur under your Account.  You may not share your Account or password with anyone, and you agree to (x) notify Grapevyne immediately of any unauthorized use of your password or any other breach of security; and (y) exit from your Account at the end of each session.  If you provide any information that is untrue, inaccurate, not current, or incomplete, or Grapevyne has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Grapevyne has the right to suspend or terminate your Account and refuse any and all current or future use of the Services (or any portion thereof).  Grapevyne may use Registration Data for any legal purpose. 

License

• For any User Content you submit, you grant to Grapevyne a non-exclusive, sub-licensable, fully paid-up, perpetual, irrevocable, royalty-free, transferable right and license to use, display, perform, transmit, copy, modify, delete, adapt, publish, translate, create derivative works from, sell and distribute such User Content and to incorporate the User Content into any form, medium, or technology, now known or hereafter developed, throughout the world, all without compensation to you. For this reason, do not send us any User Content that you do not wish to license to us, including any confidential information or any original creative materials such as stories, product ideas, computer code or original artwork. You represent and warrant that you have all rights necessary for you to grant the licenses granted in this section, including but not limited to permission from or on behalf of any individuals that appear in the User Content to use, and grant to third parties such as Grapevyne the right to use, their name, image, voice and/or likeness without compensation to you or any other person or entity.

Policy Changes

• Grapevyne reserves the right to modify these Terms at any time. We will notify Connecting Doctors of material changes via email or platform notifications. After receiving notice, continued use of the platform affirms acceptance of the updated policies.

Digital Millennium Copyright Act Policy.

• We respect the intellectual property rights of others, and we ask that you do the same. The Digital Millennium Copyright Act (“DMCA”) (17 U.S.C. § 512) provides a remedy for copyright owners who believe that material appearing on the Internet infringes their rights under US copyright law. If you are a US copyright owner and believe that your rights under United States copyright laws are being violated by any Content posted on or transmitted through the Service, you may request that we remove the that infringing content from the Service. If you are a copyright owner and believe that we have removed your work by mistake or have misidentified your work, you may respond by sending us a counter-notice.  It is our policy to disable access to infringing materials, and to terminate access of repeat infringers to the Service. For us to investigate your claim of infringement, you must provide us with the following information:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

2. A description of the copyrighted work or other intellectual property that you believe has been infringed;

3. A description of where the material that you claim is infringing is located or identified on the Service; 

4. Your name, address, telephone number, and e-mail address;

5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law; and

6. A statement by you, made under penalty of perjury, that the information submitted to us is accurate and that you are the owner of the copyright or intellectual property or authorized to act on behalf of the owner of the copyright or intellectual property.
